CBS has a policy of protecting the confidentiality information we collect about our clients. This Notice acknowledges the understanding concerning the confidentiality of various information, data and documentation a client will make available to CBS, whether in oral or written form.

CBS acknowledges that it will be provided the opportunity to review the financial statements of each client, along with such other books, records, customer lists, inventory, personnel files, equipment records, etc., (“Information”). CBS also acknowledges that the Information is a valuable asset of a client, and that certain Information is highly confidential (“Confidential Information”).

Accordingly, CBS hereby warrants its agents, employees, other representatives and advisors, will not divulge or disclose identified Confidential Information to any third parties, nor use same for CBS’ own business purposes, except as herein provided.

CBS employees are required to protect the confidentiality of Information and to comply with CBS established policies. They may access Information only when there is an appropriate reason to do so. Employees who violate the CBS Privacy Policy are subject to disciplinary action.

The collection and use of Information is limited to the services CBS is engaged to render.

It is understood and agreed that nothing contained herein shall prevent or prohibit CBS from discussing, reviewing or providing Information to in-house or outside retained professional advisors (lawyers, accountants, consultants, etc.) in order to obtain their assistance, guidance and professional opinions concerning said Information. All such advisors shall be apprised of this Agreement prior to being provided access to Information.

CBS may disclose Information as directed by a client, or when CBS believes (in its sole discretion) it necessary for conducting business on a client’s behalf, or where disclosure is required by law.

This Privacy Policy applies to all active and inactive clients; and it applies to former clients for a period of three (3) years from the date of completion/termination of CBS services.

CBS reserves the right to change this Privacy Policy at any time; and has blanket employee dishonesty coverage in force for the protection of Client (issued by HUB International and underwritten by Chubb Insurance), in the amount of US$2,000,000.
